The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Oct. 30, 2023.

Convertible debenture:  $3-million

Conversion price:  convertible into 5,454,546 common shares at a conversion price of 55 cents per share

Maturity date:  24 months from the issuance

Warrants:  three million common share purchase warrants, with each warrant exercisable to purchase one common share at a price of 55 cents for a period of 24 months after closing

Interest rate:  14 per cent per annum

Number of placees:  19 placees

Total existing insider involvement:  263,636 (one insider)

Total pro group involvement:  363,636 (two pro groups)

Finder's fee:  $117,750 cash

The company issued news releases on Nov. 20, 2023, and Dec. 20, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
