Ms. Kimberly Hedlin reports

REGEN III: INVESTOR OUTREACH FOR TEXAS CITY CAPITAL RAISE COMMENCES

Further to ReGen III Corp.'s press release dated Feb. 24, 2023, outreach efforts have officially commenced to prospective institutional and strategic investors with respect to the financing of ReGen III's compelling Texas City investment opportunity.

Over the past four months, ReGen III and its advisers have worked diligently to prepare and populate a new data room, create a marketing teaser document, craft a confidential information memorandum (CIM), develop an updated financial model, and identify the investor outreach list.

"We are excited to see the progress made in our partnership with National Bank Financial and their outreach efforts to potential institutional investors," said Greg Clarkes, chairman and chief executive officer of ReGen III. "We are grateful for the dedication and hard work of NBF's team in bringing our Texas City investment opportunity to the forefront. Together, we are poised to drive positive change in the re-refining industry and advance our mission of creating sustainable solutions."

National Bank Financial Inc. (NBF) is acting as a financial adviser to ReGen III with respect to its Texas City capital raise.

About ReGen III Corp.

ReGen III is a clean technology company commercializing disruptive, patented technology to recycle used motor oil (UMO) into high-value Group III base oils. With a focus on creating sustainable solutions that generate better environmental outcomes and compelling economics, the company's ReGen process is expected to reduce carbon dioxide equivalent emissions by 82 per cent as compared with virgin crude derived base oils combusted at end of life.

In 2022, ReGen III completed FEL2 and value engineering for the company's 5,600-barrel-per-day UMO Texas recycling facility, where world-class engineering, construction and licensed vendor teams -- including Koch Project Solutions LLC, PCL Industrial Management Ltd., Koch Modular Process Systems and Duke Technologies -- are providing detailed design, construction, commissioning and start-up services.

Operating in an underserved segment of the base oil market, ReGen III aims to become the world's largest producer of sustainable Group III base oil.
