Private Placement 

Gem International Resources Inc. (the "Company") (TSXV: GI) wishes to announce that it intends to carry out a private 
--->placement for the sale of up to 7,000,000 units at a price of $0.05 per unit.  Each unit will consist of one (1) commo
--->n share and one-half (1/2) of one non-transferable share purchase warrant for the purchase of one (1) further common s
--->hare of the Company within two (2) years  of the date of grant at the price of $0.10 per such common share.
 The funds shall be used for the Company's unallocated working capital and investigation of future projects.  The fore
--->going transactions are subject to regulatory approval.  The maximum allowable finder's fee shall be paid in cash, shar
--->es or warrants in accordance with the policies of the TSX Venture Exchange.
