The TSX Venture Exchange accepted for filing documentation pertaining to an amended and restated mining claims purchase agreement dated effective Nov. 10, 2025, between the company and a non-arm's-length party of the company. Pursuant to the agreement, the company acquired from the vendor: (i) a 100-per-cent interest in certain initial mining claims; (ii) the vendor's remaining 51-per-cent interest in the block a property; and (iii) a 100-per-cent interest in certain additional claims.

As consideration, the company issued an aggregate of 28,218,460 common shares to the vendor. In connection with the acquisition, the company granted the vendor a 1-per-cent net smelter return (NSR) royalty on the initial mining claims, the block a property, the additional claims and the main block property.

The company has advised the exchange that disinterested shareholder approval for the transaction was obtained at a special meeting held on Jan. 6, 2026.
