The TSX Venture Exchange has accepted for filing documentation with respect to the arm's-length acquisition of the Copperhead prospecting tenement located in Western Australia, pursuant to a tenement sale agreement dated July 24, 2023, between the company and an arm's-length vendor. Pursuant to the terms of the agreement, the purchase price is a cash payment of $50,000 (Australian) on the execution of the agreement, an issuance of $250,000 (Australian) of common shares of the company and an additional payment of $200,000 (Australian) in cash upon the lesser of dual listing on the Australian Securities Exchange or within six months of execution of the agreement, being made out to the arm's-length vendor. The company has the election to extend the deferred cash payment by an additional six months by making an additional cash payment of $50,000 (Australian).

The arm's-length vendor will retain a 1.5-per-cent gross smelter royalty, capped at $800,000 (Australian), on the property.
