The TSX Venture Exchange has accepted for filing the company's proposal to issue 2,558,333 common shares at a deemed value of three cents per share to settle outstanding debt for $76,750.

Number of creditors:  three creditors

Total non-arm's-length-party involvement:  $55,000, 1,833,333 shares at three cents

The company shall issue a news release when the shares are issued and the debt extinguished.
