NON-BROKERED PRIVATE PLACEMENT AND DEBT SETTLEMENT

Goldex Resources Corp. has completed a non-brokered private placement of 3.25 million units at a price of six cents per unit for gross proceeds of $195,000. Each unit consists of one common share of the company and one transferable common share purchase warrant. Each warrant will entitle the holder thereof to purchase one share at a price of 10 cents for a period expiring five years from the date of issuance. The shares issued pursuant to the private placement and the exercise of the warrants will be subject to a hold period of four months and one day from the closing date (Nov. 3, 2023) of the private placement, in accordance with applicable Canadian securities laws. The company is relying upon the exemptions under Multilateral Instrument 61-101 sections 5.5(a) and 5.7(1)(b) for insider participation. Insiders acquired 2,125,000 of the units.

Additionally, the company settled outstanding indebtedness of $614,951 by issuing 10,249,182 units at a price of six cents per unit or common share. Each unit comprises one common share of the company and one transferable common share purchase warrant entitling the holder thereof to purchase one additional common share of the company at a price of 10 cents for a period expiring five years from the date of issuance. The indebtedness consists of loans. The issuance of the units was accepted for filing by the TSX Venture Exchange on Oct. 31, 2023.
