EARLY WARNING NEWS RELEASE ISSUED PURSUANT TO NI 62-103
ACQUISITION OF UNITS OF GOLDEN AGE EXPLORATION LTD.
Vancouver, B.C. - March 27, 2026 - This news release is being disseminated by Mineral Road Partners Inc., whose control person is Damien Reynolds, (the "Purchaser") pursuant to National Instrument 62-103, The Early Warning System and Related Take-Over Bid and Insider Reporting Issues, in connection with the acquisition of certain units (the "Units") of Golden Age Exploration Ltd. (the "Issuer"), a British Columbia corporation whose common shares (the "Common Shares") are listed for trading on the Canadian Securities Exchange under the symbol "GDN".
On March 24, 2026, the Purchaser exercised 2,300,000 share purchase warrants to acquire 2,300,000 common shares of the Issuer. The warrants were exercised at a price of $0.065 per warrant for total consideration of $149,500.
The acquisition of the common shares results in an increase in shareholding percentage of over 2% from the prior Form 62-103F1 that was filed with respect to this Issuer and Purchaser.
Prior to the Transaction, the Purchaser owned and controlled 2,930,000 Common Shares of the Issuer representing 16.83% of the then issued and outstanding Common Shares and 2,300,000 warrants of the Issuer based on a total of 17,400,001 Common Shares outstanding, or 5,230,000 Common Shares of the Issuer representing 26.55% of the outstanding shares assuming exercise of the warrants held by the Purchaser.
Subsequent to the Transaction, the Purchaser owned and controlled 5,230,000 Common Shares of the Issuer representing 26.55% of the then issued and outstanding Common Shares and no warrants of the Issuer.
A copy of the early warning report dated March 24, 2026 to be filed by the Purchaser in connection with the acquisition of the Common Shares of the Issuer will be available on SEDAR at www.sedar.com under the Issuer's profile.
