GOLCAP ANNOUNCES PRIVATE PLACEMENT

Golcap Resources Corp. has arranged a non-brokered private placement of up to five million units at a price of six cents per unit for proceeds of $300,000. Each unit consists of one common share and one warrant, each warrant entitling the holder to purchase one common share at a price of 7.5 cents for a period of five years from closing. Proceeds will be used for mineral exploration and general working capital.

The private placement is subject to approval by the Canadian Securities Exchange. Finders' fees may be payable in accordance with the policies of the CSE, and all securities issued will be subject to a hold period of four months and one day in accordance with applicable securities laws.
