GAMMA RESOURCES ANNOUNCES INCREASE IN PRIVATE PLACEMENT TO $1,500,000

Gamma Resources Ltd.'s non-brokered private placement announced July 31, 2026, for gross proceeds of up to $880,000 has been increased to gross proceeds of up to $1.5-million.

The private placement will consist of up to 18.75 million units at a purchase price of eight cents per unit for gross proceeds of up to $1.5-million. Each unit will consist of one common share in the capital of the company and one non-transferable common share purchase warrant. Each warrant will entitle the holder to acquire one additional common share at an exercise price of 12 cents for a period of 36 months following the closing of the private placement. The company anticipates closing a first tranche of the private placement shortly. The completion of the first tranche and the subsequent second tranche of the private placement are subject to the acceptance of the TSX Venture Exchange.

All securities issued in connection with the private placement will be subject to a four-month-plus-one-day hold period from the closing date, pursuant to applicable securities laws and the policies of the TSX Venture Exchange.
