The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on May 8, 2023.

Non-flow-through (NFT)

Number of shares:  seven million NFT shares

Purchase price:  five cents per NFT share

Warrants:  seven million share purchase warrants to purchase 3.5 million shares

Warrant exercise price:  10 cents for a two-year period

Flow-through (FT)

Number of shares:  3,333,333 FT shares

Purchase price:  six cents per FT share

Warrants:  3,333,333 share purchase warrants to purchase 1,666,666 shares

Warrant exercise price:  10 cents for a two-year period

Number of placees:  two placees

Total existing insider involvement:  9,333,333 (one insider)

The company issued a news release on May 30, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
