Number of shares:  8.75 million charity flow-through shares

Purchase price:  $1.92 per charity flow-through share

Number of placees:  67 placees

Total existing insider involvement:  6,785,000 (five insiders)

Finder's fee:  $61,355.48 cash and 44,785 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of $1.37 for a period of one year from the date of issuance.

The company issued a news release on Aug. 17, 2023, confirming the closing of the private placement.
