Number of shares:  two million shares

Purchase price:  six cents per share

Warrants:  two million share purchase warrants to purchase two million shares

Warrant exercise price:  eight cents for a five-year period

Number of placees:  three placees

Total existing insider involvement:  one million (one insider)

The company issued a news release on Oct. 4, 2023, confirming the closing of the private placement.
