FTI FOODTECH INTERNATIONAL ACQUIRES THE BRAND PURE DEFENDER

FTI Foodtech International Inc. has entered into a definitive agreement to acquire all the intellectual property of the established sanitization brand Pure Defender. Pursuant to the agreement, FTI has acquired all the brand assets, including website, trademarks, patent and product packaging, logos, and related intellectual property.

This acquisition of the brand Pure Defender, along with its trademark and patents, is the continuing aggressive growth of FTI and the FTI Foodtech International business model, using its global retail/on-line platform. Certain terms of the agreement are subject to confidentiality, other than the company will issue 300,000 common shares at a deemed issuance price of 20 cents per share, which securities are, in accordance with applicable securities legislation, subject to a hold period of four months plus one day from issuance, along with a 10-per-cent royalty on net proceeds. The acquisition remains subject to TSX Venture Exchange approval.

Pure Defender disinfectants are on Health Canada's list of authorized disinfectants likely to be effective and may be used against killing 99 per cent of all bacteria/germs that cause SARS-CoV-2, the coronavirus that causes COVID-19.

"Pure Defender has been approved for use and approved as safe for use by humans and animals by Health Canada. The DIN [drug identification number] in Canada is 02514338. Products do not get DINs from Health Canada unless they meet Health Canada's requirements and actual approval is given. Plus, the actual production facilities must meet the Health Canada rules for cleanliness and consistency in techniques and protocols of production," said Stephen Brown, chief executive officer.

Mr. Brown added, "We are extremely excited to have the Pure Defender sanitizing/disinfectant product line that has been around for over five years and fast became a reputable product, both at retail and commercial, which helped us make our decision to have Pure Defender join the FTI Foodtech International platform."
