BULLFROG CLOSES NON-BROKERED PRIVATE PLACEMENT
Further to its press releases of Sept. 15, 2026, and Sept. 22, 2026, Bullfrog Gold Corp. h as closed its non-brokered private placement for aggregate gross proceeds of approximately $7.4-million, issuing 37,037,500 units, with each unit consisting of one Bullfrog common share and one-half of one common share purchase warrant, at a price of 20 cents per unit. Each whole warrant will be exercisable for one common share expiring Oct. 5, 2028, at an exercise price of 30 cents per common share.
The offering is subject to Bullfrog receiving all necessary regulatory approvals, including final approval from the TSX Venture Exchange to list the common shares issuable pursuant to the offering.
The net proceeds of the offering will be used by Bullfrog for exploration at the South Bullfrog project in Nevada and general working capital purposes.
In connection with the closing of this offering, the company paid an aggregate cash finder's fee of $283,800 and issued 1,381,500 non-transferable broker warrants, exercisable at a price of 20 cents per common share, expiring Oct. 5, 2028.
All securities to be issued pursuant to the offering are subject to a four-month hold period expiring Feb. 6, 2027, under applicable securities laws in Canada. The total number of common shares of Bullfrog outstanding after closing this tranche of the offering is 121,382,401.
SCP Resource Finance and Integrity Capital Group acted as non-exclusive financial advisers to the company in connection with the offering.
