FREQUENCY EXCHANGE ANNOUNCES BOARD AND MANAGEMENT CHANGES

Hari Varshney has resigned as chief financial officer of Frequency Exchange Corp. and Sammy Chow has been appointed CFO of the company, effective Dec. 1, 2025.

The company would like to thank Mr. Varshney for his time serving as CFO. Mr. Varshney remains as corporate secretary of the company and director of the board.

Mr. Chow has over two decades of leadership experience in finance, operations, corporate development and corporate strategy, having held senior roles including CFO and chief operating officer across industries such as manufacturing, technology and renewable energy. He brings a proven record of aligning corporate objectives with scalable operations and sustainable growth, earned through his experience working with international Fortune 500 companies and start-ups in Asia, the United States and Canada. He has led and supported these companies' capital investment initiatives, new business ventures, new market entry and capital raising efforts that resulted in over $1-billion of successful investments. Mr. Chow is a chartered financial analyst with an MBA from the University of Ottawa and a bachelor of commerce from the University of British Columbia.

The company is also pleased to announce the appointment of Scott Owen to Frequency's board of directors. Mr. Owen is a connector at heart, and a champion of people and great partnerships and alliances. He had led teams passionate about strategic business development and strategic channel organizations. He has over 30 years of global experience building high performance direct sales, sales operations, business development and channel sales teams that have served a wide range of partners, alliances, customer and industry segments. He is adept at market entry of new/emerging technologies. He has had P&L (profit and loss) responsibilities above $250-million, has personally sold multiple $100-million-plus, multiyear deals, the largest deal (partnership with revenue attribution) being $950-million over a five year period.
