FREE BATTERY METAL LIMITED ANNOUNCES PROPOSED ACQUISITION OF THE LAC BINETTE PROPERTY
Free Battery Metal Ltd. has entered into an arm's-length share exchange agreement, dated July 2, 2025, pursuant to which the company has agreed to acquire 15442568 B.C. Ltd., the owner of the Lac Binette property, located in Quebec's Upper Laurentians, situated just 1.2 kilometres west of the Mitchinamecus reservoir, in exchange for one million common shares of the company at a deemed issue price of 38 cents per share. The property represents a prospective critical metal target within a pair of contiguous mineral claims totalling 117.6 square hectares.
Completion of the acquisition is subject to the satisfaction of customary conditions precedent, including the approval of the Canadian Securities Exchange. A finder's fee of 100,000 common shares of the company at a deemed issue price of 38 cents per share will be issued to certain finders upon completion of the acquisition. All shares issued in connection with the acquisition will be subject to a hold period of four months and one day from issuance.
