The TSX Venture Exchange has accepted for filing documentation in connection with an arrangement agreement dated June 23, 2025, between Baselode Energy Corp. and Forum Energy Metals Corp. under the provisions of the Business Corporations Act (British Columbia).

Pursuant to the plan of arrangement, shareholders of the company received 0.3535 common share of Baselode for each common share of the company held.

The exchange has been advised that approval of the plan of arrangement by the company's shareholders was received at a special meeting of shareholders held on Aug. 19, 2025, and that the final court order approving the plan of arrangement was received from the Supreme Court of British Columbia on Aug. 22, 2025. The plan of arrangement was completed on Aug. 29, 2025.

Delisting

In connection with the completion of the plan of arrangement, the company will be delisted from the exchange. Accordingly, effective at the close of business, Tuesday, Sept. 2, 2025, the common shares of the company will be delisted at the request of the company.
