Charity flow-through shares

Number of shares:  48,648,648 charity flow-through shares

Purchase price:  18.5 cents per charity flow-through share

Warrants:  24,324,324 share purchase warrants to purchase 24,324,324 shares

Warrant exercise price:  18.5 cents for a two-year period until Dec. 12, 2025

Non-flow-through shares

Number of shares:  11,366,787 non-flow-through shares

Purchase price:  12 cents per non-flow-through share

Warrants:  5,683,393 share purchase warrants to purchase 5,683,393 shares

Warrant exercise price:  18.5 cents for a two-year period until Dec. 12, 2025

Number of placees:  77 placees

Total existing insider involvement:  580,000 (five insiders)

Total pro group involvement:  1,829,972 (two pro groups)

Finder's fee:  $588,289 cash and 3,321,326 non-transferable broker warrants

The company issued a news release on Dec. 12, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
