VOLATUS AEROSPACE ANNOUNCES FILING OF FINAL SHORT FORM PROSPECTUS IN CONNECTION WITH BOUGHT DEAL PUBLIC OFFERING

In connection with Volatus Aerospace Inc.'s bought deal public offering, as previously announced on Nov. 4, 2025, the company has filed a final short form prospectus dated Nov. 21, 2025, with the securities commissions in each of the provinces of Canada, except Quebec, and has obtained a receipt therefor.

The final prospectus qualifies the distribution of 33.35 million common voting shares of the company at a price of 60 cents per share for aggregate gross proceeds of $20.01-million and up to an additional 5,002,500 common voting shares pursuant to the overallotment option granted to the underwriters.

The offering is expected to close on or about Nov. 26, 2025, and is subject to certain conditions including, but not limited to, the receipt of all necessary approvals, including approval of the TSX Venture Exchange.
