Due to investor demand, Falcon Energy Materials PLC is increasing the size of its previously announced private placement from 30 million units of Falcon to 34.24 million units at a price of $1 per Unit for aggregate gross proceeds of approximately $34.24-million.
Each unit will comprise one ordinary share of the company and one-half of a non-transferable share purchase warrant. Each full warrant grants the holder the right to purchase, for a period of 24 months from the date of closing, one additional share at a price of $1.29 per warrant share.

The company anticipates that insiders of the company will participate in the private placement. The extent of insider participation has not been determined at this time. Any insider participation will be disclosed in accordance with the policies of the TSX-V and applicable securities laws.
Closing of the private placement is expected on or about Sept. 23, 2026, or such other day as the company may choose and remains subject to customary conditions, including the receipt of all necessary regulatory approvals.
