The TSX Venture Exchange has accepted for filing documentation with respect to the arm's-length disposition of Terraco Gold Corp. pursuant to a share purchase agreement between the company and OR Royalties Inc.

Pursuant to the terms of the agreement, the company will dispose of all of the issued and outstanding shares in the capital of Terraco, a wholly owned subsidiary of the company, to the purchaser for cash consideration of $168-million (U.S.). Terraco, through its subsidiaries, holds 0.50-per-cent to 3.00-per-cent net smelter return royalties on the Spring Valley gold project in Pershing county, Nevada, and a 2-per-cent net smelter return royalty on the Moonlight property in Nevada.
