The TSX Venture Exchange has accepted for filing the company's proposal to issue 219,397 shares at a deemed price of $1.28 to settle outstanding debt for $280,829.50 ($205,000 (U.S.)).

Number of creditors:  three creditors

Total non-arm's-length party involvement:$273,980, 214,046 shares at $1.28 (two parties)  

The company shall issue a news release when the shares are issued and the debt extinguished.
