Convertible debenture:  $4.1-million (U.S.) ($5,580,920 (Canadian))

Conversion price:  convertible into 4,135,015 common shares at $1.35 (Canadian)

Maturity date:  five years from issuance

Interest rate:  10 per cent per annum

Number of placees:  three placees

Total existing insider involvement:  $4-million (two insiders)

The company issued a news release on May 25, 2023, confirming the closing of the private placement.
