The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Sept. 28, 2023.

Number of shares:  5,787,800 common share units, each unit consisting of one common share in the capital of the company and one-half of one share purchase warrant

Purchase price:  36 cents per unit

Warrants:  2,893,900 whole warrants to purchase 2,893,900 shares

Warrant price:  75 cents, exercisable for a period of three years from the date of issuance

Number of placees:  five placees

Finders' fees:  $145,152 cash, 695,000 shares and 14,000 warrants (two finders) (The finder's warrants are exercisable at 75 cents per finder's share for a period of three years from the date of issuance.)

The company issued a news release on Oct. 20, 2023, confirming the closings of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
