First Hydrogen receives TSX-V OK for RoboticsCo deal

2026-11-02 13:42 ET - News Release

Mr. Balraj Mann reports

FIRST HYDROGEN DEFINITIVE AGREEMENT WITH ROBOTICSCO APPROVED

First Hydrogen Corp. has received TSX Venture Exchange approval to acquire a 60-per-cent interest in Exodus Actuation Solutions Inc. (RoboticsCo). RoboticsCo holds a portfolio of patents and related intellectual property (IP), focused on advanced actuation, gearbox, motor and robotics technologies. RoboticsCo owns or licenses 26 issued and 10 pending patents covering its actuation gearbox and high-performance motor lines. These technologies have been tested and successfully used by robotics, automotive and packaging companies around the world.

RoboticsCo's technologies address key performance requirements across the rapidly expanding robotics and automation markets, including greater speed, torque density, efficiency, precision and reliability, while reducing power consumption, size, noise and overall system cost. Its advanced actuation and gearing designs are intended to reduce friction, improve efficiency and backdrivability and enable smoother, more natural robotic movement. The platform has undergone extensive development and testing, with more than 500 motors and gearboxes manufactured and shipped, and positive customer feedback demonstrating improved performance and the ability to enable new robotic applications.

Applications include humanoid and industrial robotics, robotic arms and manipulators, collaborative robots, automated manufacturing and assembly, material handling, packaging and conveyance systems, precision motion control, and other applications requiring compact, high-performance and energy-efficient actuation.

According to The Business Research Company, the global robotics and automation actuators market is projected to grow from $32.89-billion (U.S.) in 2025 to $67.68-billion (U.S.) by 2030, representing a compound annual growth rate (CAGR) of 15.6 per cent. Growth is being driven by increasing adoption of robotics and automation across manufacturing, logistics, healthcare and other industries, creating significant opportunities for advanced actuation, gearbox and motor technologies.

Under the terms of the transaction, the company will acquire a 60-per-cent interest in RoboticsCo through the issuance of two million common shares and investing $2-million (U.S.), both in stages, subject to mutually agreed budgets, for the advancement of RoboticCo's technology toward commercialization. In connection with the transaction, the company will issue 523,475 common shares to an arm's-length third party as a finder's fee.
