FIRST HYDROGEN ANNOUNCES CLOSING OF $1,560,000 FINANCING
First Hydrogen Corp., further to the news release dated
Dec. 31, 2025, has closed the private placement of 5.2 million units for gross proceeds
of $1.56-million. Each unit consists of one common share and one share purchase warrants, with each share
purchase warrant exercisable to acquire one common share at an exercise of 45 cents per warrant for a period of
two years from the closing date of the offering.
The private placement was completed pursuant to the listed issuer financing exemption under Part 5A of
National Instrument 45-106, Prospectus Exemptions, and therefore the securities issued in the offering will
not be subject to a hold period in accordance with applicable Canadian securities laws.
The company intends to use the net proceeds from the financing for working capital and general corporate
purposes.
In connection with the offering, the company paid cash finders' fees of $124,800 and issued 416,000 non-
transferable finders' warrants. Each finder's warrant is exercisable at a price of 45 cents per share for a period
of two years from the closing date of the offering.
