The TSX Venture Exchange has accepted for filing the company's proposal to issue 1,072,314 shares to settle outstanding debt for $144,762.39.

Number of creditors:  20 creditors

Total non-arm's-length-party involvement:  $127,050.52, 941,115 shares at 13.5 cents (10 parties)

Total pro group involvement:  $2,918.70, 21,620 shares at 13.5 cents (two pro groups)

The company shall issue a news release when the shares are issued and the debt extinguished.
