FIRST CANADIAN GRAPHITE INC. CLOSES FINANCING - $1,025,000
First Canadian Graphite Inc. has received conditional approval from the TSX Venture Exchange for a financing to raise $1-million through the issuance of two million flow-through common shares at 50 cents. The company has been successful in receiving subscriptions for $1,025,000 (oversubscribed $25,000). The company will now apply to the TSX Venture Exchange for approval to close the oversubscribed financing and issue 2.05 million flow-through common shares.
The gross proceeds from the financing
will be for
an exploration and drill program on the company's Berkwood graphite project, located in Northern Quebec, and will be used to incur resource
exploration
expenses,
which
will constitute
Canadian
exploration
expenses,
as
defined in
Subsection
66.1(6)
of
the
Income
Tax
Act,
flow-through
critical
mineral
mining
expenditures, as defined in Subsection 127(9) of the
Income Tax Act,
which will be incurred on or before Dec. 31, 2027, and will be
renounced
with an effective date no later
than
Dec. 31,
2026, to
the
subscriber of
the
flow-through
common
shares.
The company will update shareholders as progress evolves.
The company has agreed to pay a finder's fee of $70,000 cash and to issue 140,000 finder's warrants, exercisable at 50 cents for two years.
The closing of the financing is subject to receipt of all necessary regulatory approvals, including the TSX Venture Exchange. The securities issued under the financing will be subject to a hold period ending on the date that is four months plus one day following the date of issuance in accordance with applicable securities laws.
The company confirms there are no material facts or material changes related to the company that has yet to be generally disclosed.
