Convertible debenture:  $575,000 principal amount of convertible debentures

Conversion price:  convertible into up to 2,875,000 common shares at 20 cents per share of principal outstanding

Maturity date:  three years from the date of issuance

Interest rate:  12 per cent per annum

Number of placees:  three placees

Total existing insider involvement:  $575,000 (three insiders)
