FORACO ANNOUNCES THE TERMINATION OF THE INVESTOR RIGHTS AGREEMENT

Foraco International SA has terminated the investor rights agreement dated July 7, 2021, among the company, Oaktree Capital Management LP, Kartesia Securities IV SA, Jean-Pierre Charmensat, Daniel Simoncini, and the holding companies of Mr. Simoncini and Mr. Charmensat.

Following the disposition by Oaktree and Kartesia of their ordinary shares of the company respectively on Jan. 16, 2024, and March 5, 2024, the investor rights agreement was automatically terminated in accordance with its terms. In connection with the termination of the investor rights agreement, Diercxsens Investments & Advisory BV, represented by Jean Diercxsens, resigned from its position as a member of the board.

Tim Bremner, chief executive officer of Foraco, commented, "We are pleased that the disposition of the Oaktree and Kartesia shares will contribute to the increased liquidity of Foraco shares which is clearly in the best interest of all shareholders."
