PROPOSED EXTENSION OF WARRANTS EXERCISE DATE

Earthworks Industries Inc. (the "Company") announces that it has applied to the TSX Venture Exchange for approval of the extension, by one year, of 4.5 million share purchase warrants. The warrants were issued May 18, 2023, and expire on May 18, 2026. Each warrant is exercisable to purchase one share in the capital of the Company for $0.40.

The proposal is to extend the deadline for the exercise of the warrants by one year, from May 18, 2026, until May 18, 2027.

Earthworks industries lnc. is a waste material management and resource recovery company focused on developing and expanding its operations across the recycling and critical minerals sectors.
