EARTHWORKS UPDATES ADDITIONAL DISCLOSURE REGARDING MCMILLAN ADVISORY AGREEMENT

Earthworks Industries Inc. has provided an additional disclosure further to its news releases dated Feb. 13, 2026, and May 11, 2026, relating to the acquisition of certain intellectual property related to a critical minerals recycling and recovery system from Wokaura Art and Innovations Inc. Wokaura is wholly owned by Chad McMillan doing business as McMillan Strategies.

The news release also disclosed that McMillan would be providing advisory services to the company. The company and McMillan Strategies have now entered into an updated formal agreement dated April 25, 2026.

Pursuant to the advisory agreement, McMillan, as McMillan Strategies, will provide advisory and consulting services to the company for a period of one year from the financing date. Compensation under the advisory agreement will be:

Fees comprise:

  • $60,000 payable upon the company completing a financing of at least $125,000;
  • $5,000 per month commencing the first day of the month following the date of the completion of the $125,000 financing for the duration of the agreement.

Finders' fees: Subject to applicable securities laws and the policies of the TSX Venture Exchange, McMillan Strategies will be entitled to finders' fees based on the aggregate gross value of any acquisition, divestiture, joint venture, merger or similar transaction entered into by the company that is introduced by McMillan Strategies, as shown in the attached table.

Either party can cancel the agreement with 30 days notice and can mutually agree to extend the agreement.
