PROPOSED EXTENSION OF WARRANTS EXERCISE DATE

Earthworks Industries Inc. is applying to the TSX Venture Exchange for approval of the extension for two years, to Nov. 2, 2027, of the expiry dates of 7.5 million outstanding share purchase warrants. The warrants were issued on Nov. 2, 2023. Each warrant is exercisable to purchase one share in the capital of the company for 40 cents.
