PROPOSED EXTENSION OF WARRANTS EXERCISE DATE

Earthworks Industries Inc. (the "Company") is applying to the TSX Venture Exchange for approval of the extension, by two years to October 30, 2027, of 6,222,600 outstanding share purchase warrants. 3,335,000 of the warrants were issued on November 27, 2023, and 2,887,600 of the warrants were issued on June 24, 2024. Each warrant is exercisable to purchase one share in the capital of the Company for $0.40.

The warrants were granted to - and are held by - North Bay Corporation.
