PROPOSED EXTENSION OF WARRANTS EXERCISE DATE

Earthworks Industries Inc. is applying to the TSX Venture Exchange for approval of the extension by two years to Oct. 30, 2027, of 6,222,600 outstanding share purchase warrants. Of the warrants, 3,335,000 were issued on Nov. 27, 2023, and 2,887,600 were issued on June 24, 2024. Each warrant is exercisable to purchase one share in the capital of the company for 40 cents.

The warrants were granted to -- and are held by -- North Bay Corp.
