EVENTER TECHNOLOGIES LTD. CLOSES NON-BROKERED PRIVATE PLACEMENT

Eventer Technologies Ltd. has closed its non-brokered private placement, as previously announced on July 2, 2026.

Under the offering, the company raised $2,475,000 (Canadian) from the sale of 33 million units at 7.5 Canadian cents per unit. Each unit comprises one common share in the capital of the company and one common share purchase warrant. Each unit warrant entitles the holder to purchase one common share for 7.2 U.S. cents per common share, equivalent to 10 Canadian cents per common share, until Aug. 17, 2029. The unit warrants will also have an acceleration provision whereby upon the securities of Eventer being approved for trading on the Nasdaq Stock Market, the company will accelerate the expiry date of 50 per cent of the unexercised unit warrants and provide three business days of advance written notice to holders thereof of such accelerated expiry date. The unit warrants are non-transferable.

The company intends to use the net proceeds of the offering for general working capital purposes, including the evaluation of prospective transactions, settlement of liabilities, and other corporate and administrative expenses. All securities issued under the offering, including any common shares and common shares issuable upon exercise of unit warrant, are subject to a restricted period of four months and one day from the date hereof. The offering is subject to the final approval of the TSX Venture Exchange and any other applicable regulatory approvals.

In connection with the offering, the company paid an aggregate of $204,188 (Canadian) in finders' fees to a qualified arm's-length party. The finder was also issued 4,125,000 common shares as compensation to the finder.
