Purchase price:  2.5 cents per share

Warrants:  15.34 million share purchase warrants to purchase 15.34 million shares

Warrant exercise price:  five cents for a two-year period

Number of placees:  25 placees

Total existing insider involvement:  5.2 million (five insiders)

The company issued news releases on Nov. 16, 2023, and Dec. 1, 2023, Dec. 5, 2023, and Dec. 8, 2023, confirming the closing of the private placement. Note that in certain circumstances, the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
