ETHER CAPITAL ANNOUNCES 2023 ANNUAL MEETING VOTING RESULTS

At the June 16, 2023, annual meeting of shareholders, the holders of common shares of Ether Capital Corp. fixed the number of directors to be elected for the ensuing year at six. Shareholders also authorized and empowered the directors to determine the number of directors of the corporation from time to time within the minimum and maximum number of directors, as provided in the articles of the corporation, and the number of directors to be elected at the annual meeting of the shareholders of the corporation. The voting results are set forth in an attached table.

The results of these matters considered at the meeting are reported in the report of voting results, as filed on SEDAR on June 21, 2023.
