SYNTHOLENE ENERGY CORP. ANNOUNCES FURTHER UPSIZE TO PREVIOUSLY ANNOUNCED PRIVATE PLACEMENT

In order to meet increased investor demand, Syntholene Energy Corp. has further upsized its previously announced non-brokered private placement offering to $2.3-million.

The offering now consists of up to 5,111,111 units of the company at a price of 45 cents per unit for gross proceeds of up to $2.3-million. Each unit will consist of one common share of the company and one-half of one common share purchase warrant. Each warrant will entitle the holder thereof to acquire one common share at an exercise price of 63 cents for a period of two years from the date of issuance of the warrant, subject to an acceleration provision in accordance with the terms of the warrant.

The offering is expected to close on or about Aug. 14, 2026, or such other date or dates as the company may determine. The company intends to use the proceeds of the offering for future testing and production at the company's demonstration facility in Husavik, Iceland, and for general working capital.

The units issued pursuant to the offering, the finders' warrants and any common shares underlying the warrants and finders' warrants, will be subject to a statutory hold period of four months and one day from the date of issuance, in accordance with applicable securities laws. Completion of the offering remains subject to the receipt of all required regulatory approvals, including approval of the TSX Venture Exchange.
