Following a resolution of Eagle Royalties shareholders passed on Oct. 30, 2025, the company has consolidated its capital on the basis of one new share for five old shares.
- The company issued 45,179,746 postconsolidation shares to acquire Summit Royalty Corp. (SRC) by way of a three-cornered amalgamation, excluding the private placement shares mentioned below.
- SRC completed a private placement of subscription receipts at 65 U.S. cents (90 Canadian cents) each, resulting in the issuance of 14,376,319 postconsolidation shares of the company for total gross proceeds of $9,344,607 (U.S.).
- The preconsolidation securities of the company under its former name, Eagle Royalties, will be delisted from the CSE upon the commencement of trading on a postconsolidation basis on the TSX Venture Exchange under the new name, Summit Royalties.
