The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced Feb. 18, 2015.

Number of shares:  5,693,333 shares

Purchase price:  Six cents per share

Warrants:  5,693,333 share purchase warrants to purchase 5,693,333 shares

Warrant exercise price:  10 cents for a two-year period

Number of placees:  16 placees

Insider:  Zimtu Capital Corp., 3.1 million

Note that in certain circumstances, the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
