Warrants:  2.1 million share purchase warrants to purchase 2.1 million shares

Warrant exercise price:  10 cents or a two-year period

Number of placees:  16 placees

Insiders:  Frances Petryshen, 100,000; Ridge Resources Ltd., 300,000

Finder's fee:  $2,000 plus 40,000 warrants exercisable at 10 cents per share for two years is payable to Canaccord Genuity Corp.
