E-POWER RESOURCES INC. ANNOUNCES PRIVATE PLACEMENT OF UNITS

E-Power Resources Inc. intends to complete a private placement of units for total gross proceeds of up to $550,000.

Securities to be issued pursuant to the offering shall consist of an amount of up to 7,857,143 units of the company issued at a price of seven cents per unit, with each unit comprising one common share in the capital of the company and one-half common share purchase warrant, with each warrant entitling its holder thereof to acquire one additional common share of the company at a price of 15 cents per share for a period of 60 months from the closing date of the offering.

Net proceeds from the offering will be used by the company for general working capital purposes.

The common shares will be offered by way of private placement pursuant to applicable exemptions from prospectus requirements. The offering is expected to close on or about March 22, 2024, subject to the satisfaction or waiver of the customary closing conditions, including the approval of the Canadian Securities Exchange. The company may pay brokers in the context of the offering. The offering may close in multiple tranches.
