E-POWER RESOURCES INC. ANNOUNCES CLOSING OF A SECOND TRANCHE OF PRIVATE PLACEMENT

E-Power Resources Inc. has closed a second tranche of the private placement previously announced on Nov. 16, 2023.

An aggregate of 3,176,634 units of the company were issued in the private placement at a price of six cents per unit for gross proceeds of $190,598.04, each unit comprising one common share in the capital of the company and one common share purchase warrant, each warrant entitling its holder thereof to acquire one additional common share at a price of 10 cents per warrant share for a period of 60 months from the closing date.

Net proceeds from the offering will be used by the company for general working capital purposes. No insiders of the company participated in the private placement.

The company paid finders' fee to Pieter Danielsson, who received a cash commission of $2,310. In addition, he received 38,500 broker warrants, with each broker warrant entitling its holder thereof to purchase one common share of the company at a price of 10 cents and expiring in 24 months.
