The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on July 20, 2023, and July 21, 2023.

Number of shares:  4,441,500 flow-through common shares

Purchase price:  20 cents per flow-through share

Warrants:  2,220,750 share purchase warrants to purchase 2,220,750 shares

Warrant exercise price:  30 cents until Aug. 2, 2025

Number of placees:  44 placees

Total existing insider involvement:  415,000 (six insiders)

Total pro group involvement:  375,000 (two pro groups)

Finder's fee:  $13,685 cash

The company issued news releases on July 21, 2023, and Aug. 3, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
