The TSX Venture Exchange has accepted for filing documentation with respect to the arm's-length disposition of a 100-per-cent interest in the Golden Arrow property. The property consists of 17 patented and 494 unpatented mineral claims located near Tonopah, Nev., USA. Pursuant to the terms of the agreement, the company will receive: 12.5 million shares of the purchaser, $600,000 (U.S.) (of which $250,000 (U.S.) had been previously paid), a $3.5-million (U.S.) principal amount non-convertible senior secured promissory note and a 0.5-per-cent net smelter return (NSR) royalty on the property. The 0.5-per-cent NSR royalty can be bought back by the purchaser for $1-million (U.S.) prior to the fourth anniversary of the agreement or $1.5-million (U.S.) if exercised on or after the fourth anniversary of the agreement, but before the seventh anniversary, after which the repurchase right shall expire. The note bears interest at a rate of 8.5 per cent per annum, payable semi-annually, in cash, and matures on March 23, 2031. The note has an early payment bonus and principal step-up features, which are both further outlined in the company's news release dated Aug. 14, 2026.
