SPARK ENERGY MINERALS ANNOUNCES FINANCING

As per Canadian Securities Exchange policy, Spark Energy Minerals Inc. intends to close its previously announced non-brokered private placement financing of up to $800,000 on Jan. 26, 2024.

The company will issue units at a price of 7.5 cents per unit. Each unit consists of one common share and one common share warrant. Each warrant is exercisable at 12.5 cents and entitles the holder to subscribe for one additional common share for a period of two years from the date of closing. The company has the option to accelerate the expiry date if the stock trades at 25 cents for a period of 10 trading days.

The common shares and warrants comprising the units will be subject to a four-month-and-one-day hold period in accordance with the policies of the CSE.

Spark Energy intends to use the net proceeds of the offering for general working capital and for work on its Brazilian claims.
