SPARK ENERGY MINERALS INC. ANNOUNCES PRIVATE PLACEMENT AMENDMENT

Spark Energy Minerals Inc. will issue an aggregate of 266,800 units at a price of 37.5 cents per unit. Each unit consists of one common share and one common share purchase warrant, exercisable at 75 cents until April 30, 2025.

This arm's-length subscription was intended to be part of the company's private placement that closed on Feb. 22, 2023, at a price of 7.5 cents per unit, but was overlooked due to a lack of communication between the company and a brokerage house.

The company plans to close this transaction on Jan. 4, 2024.
