The TSX Venture Exchange has accepted for filing documentation in connection with an arrangement agreement dated Jan. 5, 2026, between Electrum Discovery Corp. and MinRex Resources Ltd. under the provisions of the Business Corporations Act (British Columbia).

Pursuant to the plan of arrangement, shareholders of the company received 7.900363636 ordinary shares of MinRex for each common share of the company held. All outstanding Electrum's convertible securities were cancelled and holders thereof will receive such number of fully paid ordinary shares of MinRex, determined using a Black & Scholes valuation.

The exchange has been advised that approval of the plan of arrangement by the company's securityholders was received at a special meeting of securityholders held on March 24, 2026, and that the final court order approving the plan of arrangement was received from the Supreme Court of British Columbia on April 1, 2026. The plan of arrangement was completed on April 10, 2026.

Delisting

In connection with the completion of the plan of arrangement, the company will be delisted from the exchange. Accordingly, effective at the close of business, Tuesday, April 14, 2026, the common shares of the company will be delisted at the request of the company.
